STACKD is operated by a company incorporated in Sharjah Media City (SHAMS), Sharjah, United Arab Emirates.
These Terms are intended for STACKD's global SaaS use. UAE law and regulation form part of STACKD's home legal framework, while UK, EU and other local laws apply where their territorial or mandatory rules make them applicable.
PART I
TERMS OF SERVICE
1What STACKD Is#
STACKD is a communications and growth marketing software platform.
STACKD provides businesses with AI-powered agents, including Dina, your PR Director, and Layal, your Social Media Manager, which assist with PR, communications and social-media activity based on information and instructions provided by you.
STACKD is a software platform and is not a PR agency, advertising agency, social-media agency, legal adviser, financial adviser, communications consultancy or other professional-services firm.
STACKD does not employ PR professionals or social-media managers on your behalf. Services are substantially performed through software, artificial intelligence, automation and third-party services.
Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, franchise or general agency relationship between you and STACKD.
Except for technical actions expressly authorised by you through STACKD, STACKD has no authority to legally bind you or act as your legal representative.
1AElectronic Acceptance and Account Registration#
To create or use a STACKD account, you must accept these Terms of Service and acknowledge that you have been provided with access to the Privacy Policy. STACKD may require acceptance through a checkbox, button or other electronic method.
Your electronic acceptance has the same effect as a written signature to the extent permitted by applicable law. STACKD may record evidence of acceptance, including the account or user identifier, date and time of acceptance, and the version of the Terms and Privacy Policy presented at the time.
The Privacy Policy explains how STACKD handles personal data. Acknowledgement of the Privacy Policy does not constitute consent to processing where applicable law requires a separate form of consent.
Where STACKD offers optional marketing communications, any consent required for those communications will be requested separately from acceptance of these Terms and may be withdrawn in accordance with applicable law.
2What STACKD Does — and What It Does Not Guarantee#
STACKD may generate PR and marketing content, generate press releases and journalist pitches, publish social-media content, monitor news, track competitors, analyse information, produce reports, assist with communications planning and perform other automated marketing and communications activities made available through the platform.
STACKD does not guarantee media coverage, journalist responses, publication space, press-release pickup, thought-leadership placement, follower growth, engagement, reach, impressions, search-engine rankings, audience growth, content performance, business partnerships, leads, sales, revenue, investment or any other commercial or business outcome.
Media coverage depends on editorial decisions made by journalists and publications outside STACKD's control. STACKD can pitch; it cannot guarantee placement.
Social-media performance depends on algorithms, audience behaviour, platform policies, competition, timing and other factors outside STACKD's control.
3AI-Generated Content#
STACKD uses artificial intelligence and automated systems to generate, analyse and distribute content and information.
AI-generated output may include press releases, journalist pitches, social-media posts, articles, captions, crisis communications, reports, news summaries, competitor analysis, recommendations and other communications and marketing materials.
AI output may contain errors, omissions, hallucinations, incorrect assumptions, outdated information, incorrect statistics, incorrect quotations, incorrect journalist information, inappropriate wording, bias or other inaccuracies or defects.
STACKD does not warrant that AI-generated output is accurate, complete, current, original, non-infringing, unbiased, suitable for publication or suitable for any particular purpose.
AI output may be similar or substantially similar to output generated for another STACKD customer. STACKD does not guarantee that any output is exclusive to you or eligible for intellectual-property protection.
You are responsible for reviewing content before relying upon, publishing, approving or distributing it, except where you have expressly enabled an automated feature such as auto-publish.
Unless expressly agreed otherwise in writing, STACKD does not provide human editorial, PR, legal, regulatory, compliance, fact-checking or professional review of AI-generated content.
4No Professional Advice#
STACKD does not provide legal, regulatory, financial, investment, tax, medical, accounting, professional PR, professional communications or other professional advice.
Information generated by Dina, Layal or any other STACKD feature must not be treated as professional advice.
If you operate in a regulated industry, including financial services, healthcare, pharmaceuticals, insurance or legal services, you are solely responsible for determining whether content complies with the laws and regulations applicable to you.
5Customer Content and Responsibility#
Everything STACKD generates is produced using automated systems and/or information supplied by you.
You are responsible for information you provide, materials you upload, claims contained in content you approve, content you publish, content you distribute, content you instruct STACKD to distribute, your use of auto-publish and your use of connected third-party accounts.
You must ensure that information provided to STACKD is accurate and lawful.
You must ensure that content is truthful and accurate; does not unlawfully defame another person or organisation; does not violate privacy rights; does not infringe intellectual-property rights; does not contain unlawful discrimination or hate; does not contain unlawful or misleading advertising; complies with applicable consumer-protection rules; complies with applicable industry regulations; complies with applicable UAE laws where relevant; and complies with the laws of any jurisdiction in which you distribute the content.
You warrant that you have all necessary rights, licences, permissions and consents to provide materials to STACKD and to distribute content generated from those materials.
STACKD is not responsible for consequences arising from content that you approve, publish, distribute or allow to be automatically distributed.
6Global and UAE Content Compliance#
Where you operate in, are established in, or distribute content into the United Arab Emirates, you are responsible for ensuring that your use of STACKD complies with applicable UAE laws and regulations, including requirements relating to media and publishing, digital and electronic media, advertising, consumer protection, privacy, personal data, electronic communications, intellectual property, defamation and reputation, cybercrime, prohibited content, public order, regulated industries and AI-generated content.
Where you operate in or target another jurisdiction, you are responsible for complying with the laws and regulatory requirements applicable to you, your audience, the relevant publication, journalist, recipient or platform in that jurisdiction.
STACKD does not determine whether a particular output is legally permissible for publication in the UAE, UK, EU or any other jurisdiction.
You remain responsible for obtaining any regulatory, legal, editorial or professional review required before publication.
7Acceptable Use#
You may use STACKD only for lawful purposes.
Do not use STACKD to send unsolicited bulk email or spam; harass or threaten individuals; unlawfully impersonate individuals or organisations; defame or unlawfully harm another person; violate privacy rights; publish false or misleading information; promote unlawful activities or prohibited products or services; violate applicable UAE media or cybercrime laws; violate advertising or consumer-protection laws; publish unlawful discriminatory, hateful or violent content; infringe intellectual-property rights; violate third-party platform terms; upload malware; attempt unauthorised access; scrape or extract STACKD source code or proprietary systems; reverse engineer STACKD; circumvent security controls or usage limits; use bots outside intended functionality; or resell or sublicense STACKD without written permission.
STACKD may suspend or terminate accounts that breach this section.
7AReverse Engineering, Scraping and Competitive Use#
You may not, and may not allow or help any other person to, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models, prompts, workflows, algorithms or underlying structure of STACKD.
You may not scrape, crawl, harvest or extract data, content or outputs from STACKD by automated means, including bots, spiders and scripts, except through features or interfaces that STACKD provides for that purpose. You may not copy, frame or mirror any part of STACKD.
You may not access or use STACKD, or any output, documentation or information obtained from it, to build, train, benchmark or improve a competing product or service, including any AI model, or to copy its features, functions, interfaces or design. Direct competitors of STACKD may not access the service without STACKD’s prior written consent.
These restrictions apply to the fullest extent permitted by law. A breach of this section is a material breach of these Terms, and STACKD may suspend or terminate the account immediately, in addition to any other remedies available to it.
8Approvals and Auto-Publish#
STACKD normally requires customer approval before publishing or sending content.
Some plans may allow auto-publish. By enabling auto-publish, you authorise STACKD to automatically perform publishing actions within the functionality and parameters configured by you.
Before auto-publish is activated, STACKD may require a separate electronic confirmation that you authorise STACKD to publish content automatically to your connected accounts according to your configured settings and acknowledge that such content may be published without individual human review. STACKD may record the date, time, account and applicable settings associated with that authorisation.
You acknowledge that content may be published without individual human review.
You are responsible for monitoring your account, reviewing published material, maintaining accurate information, configuring appropriate publishing rules, disabling auto-publish when appropriate and correcting or removing content where necessary.
You accept responsibility for content distributed while auto-publish is enabled.
Crisis communications are never automatically published. Investor-sensitive or legally significant content may be routed through an approval workflow regardless of auto-publish settings.
9Connected Accounts and Third-Party Permissions#
STACKD may connect to third-party accounts including LinkedIn, Instagram, Facebook, X, TikTok, YouTube, email services, journalist databases and other supported services.
You represent that you own or control the account or have authority to connect it, have authority to grant STACKD access, have obtained required permissions, will comply with the third party's terms and will maintain valid credentials and permissions.
When connecting a third-party account, STACKD may require you to confirm electronically that you are authorised to connect that account and that you grant STACKD permission to access and perform the actions you enable through the platform. STACKD may record that authorisation.
STACKD is not responsible for consequences arising from incorrect or expired credentials, revoked permissions, unauthorised account connections, third-party account restrictions, API changes or third-party policy changes.
10Deliverable Limits#
Every plan includes defined monthly deliverables displayed on the STACKD pricing page before subscription.
No plan provides unlimited deliverables.
The maximum on any plan is currently 10 press releases per month and 25 social-media pieces per month.
Unused deliverables do not roll over.
When you reach 80% of a limit, STACKD may notify you. When you reach 100%, the relevant deliverable type may be locked until the next billing period or until you upgrade.
11Subscriptions and Billing#
STACKD is billed monthly or quarterly in advance. By subscribing, you authorise STACKD and its payment provider to charge your saved payment method at each renewal.
Subscriptions renew automatically unless cancelled before the renewal date.
If you pay three months upfront, you receive a 10% discount for that quarter.
Cancellation takes effect at the end of the current billing period. Unless required by law, STACKD does not provide refunds for unused time, unused deliverables or partial billing periods.
If payment fails, STACKD may retry the charge. If payment remains unresolved for seven days, STACKD may suspend access until payment is received.
STACKD may change pricing by giving at least 30 days' notice.
11APayment and Card Information#
Payments are processed by STACKD's third-party payment processor, currently Stripe. When you provide credit or debit card information, your payment details are submitted to and processed by the payment processor in accordance with its applicable terms, privacy practices and security requirements.
STACKD does not directly store complete credit or debit card numbers or card security codes (CVV/CVC). STACKD may receive and retain limited payment-related information from its payment processor, such as card type or brand, the last four digits of the card number, expiry information, billing details, payment status, transaction identifiers and customer or payment-account identifiers.
By adding a payment method and purchasing a subscription, you authorise STACKD and its payment processor to charge the applicable subscription fees, taxes and other amounts you have authorised to that payment method, including recurring charges at each renewal until the subscription is cancelled in accordance with these Terms.
You are responsible for ensuring that the payment method you provide is valid, current and that you are authorised to use it. You must promptly update payment information where necessary.
To the maximum extent permitted by applicable law, STACKD is not responsible for payment-processing failures, payment-provider outages, card-issuer or bank decisions, declined transactions, payment authentication failures, holds, restrictions or other payment-processing matters outside STACKD's reasonable control.
12Service Availability#
STACKD does not guarantee uninterrupted or error-free access.
Planned or emergency maintenance, infrastructure failures, cybersecurity incidents, cyberattacks, internet failures, cloud-provider failures, third-party outages, AI-provider failures, social-media API changes, journalist database failures, email-provider failures, news-monitoring failures, government restrictions, regulatory requirements and temporary security suspensions do not constitute a breach or entitle you to a refund.
STACKD does not guarantee the continued availability of any particular third-party integration, AI model or provider.
13Third-Party Services#
STACKD relies on third-party providers, including AI providers, cloud infrastructure, databases, email providers, social-media platforms and news-monitoring services.
STACKD is not responsible for third-party availability, accuracy, security, policies, actions, pricing, technical changes or service interruptions.
If a third-party service becomes unavailable, STACKD may replace it, modify affected functionality or discontinue the relevant integration.
14AI Models and Providers#
STACKD may change AI models, providers and infrastructure, including adding or removing AI providers, changing model versions, changing prompts or system instructions, modifying agent behaviour, changing infrastructure, modifying generation methods and introducing or discontinuing AI features.
Output may therefore change over time. STACKD does not guarantee identical output from one period to another.
15Journalist Data#
STACKD may process journalist contact information supplied by you or sourced through third parties, including names, email addresses, publication information and professional contact information.
Journalist information may become inaccurate or outdated.
STACKD does not guarantee the accuracy of journalist data, continued employment, validity of an email address, journalist interest, journalist response or publication interest.
You are responsible for ensuring communications comply with applicable privacy, marketing and electronic-communications laws, including the UK Privacy and Electronic Communications Regulations, the EU ePrivacy Directive and applicable implementing legislation. Where you pitch journalists located in the EU or UK using STACKD, you must satisfy yourself that a lawful basis exists for sending electronic marketing communications to those recipients. STACKD does not determine whether a pitch constitutes a marketing communication or whether you have an applicable lawful basis or exemption. You are solely responsible for that assessment. You must not use STACKD to send communications to individuals who have opted out, withdrawn consent or otherwise indicated they do not wish to receive such communications.
16Account Security#
You are responsible for maintaining account security and must not share credentials except where expressly permitted.
You must notify STACKD promptly of suspected unauthorised access.
Users must be at least 18 years old and authorised to enter into these Terms.
17Intellectual Property#
You retain ownership of materials you upload.
You grant STACKD a non-exclusive licence to use, process, reproduce, store and transmit those materials as reasonably necessary to provide and operate the service.
Subject to payment of applicable fees and your compliance with these Terms, STACKD assigns to you, to the extent permitted by law, any rights STACKD may hold in AI-generated content produced specifically for your account. STACKD does not guarantee that AI output is unique, copyrightable, non-infringing, exclusive or free of third-party rights. AI-generated content may be similar or substantially similar to output generated for other customers. You are responsible for obtaining any IP, legal or regulatory advice you require before relying on or publishing AI-generated content.
STACKD retains all rights in STACKD, STACKD technology, STACKD software, STACKD branding, Dina, Layal, platform architecture, proprietary prompts, proprietary workflows, documentation, platform interfaces and proprietary databases.
18Feedback and Aggregated Data#
STACKD may use customer feedback without restriction or compensation.
STACKD may collect technical and usage data and use aggregated or anonymised information to improve the service, develop features, analyse trends, improve security and performance, produce benchmarks and understand usage patterns.
STACKD will not intentionally use aggregated or anonymised data to identify a customer.
STACKD does not use customer content to train general AI models for unrelated customers, except where expressly disclosed and permitted by applicable law and contractual arrangements.
19Confidentiality#
Each party must protect the other's confidential information.
Confidential information may be disclosed where required by law, required by a regulator, necessary to protect legal rights, required by service providers to provide the service or authorised by the other party.
Information is not confidential if it is publicly available, independently developed or lawfully obtained without confidentiality obligations.
20Data Protection#
STACKD is established in Sharjah Media City (SHAMS), Sharjah, United Arab Emirates.
STACKD processes personal data in accordance with applicable data-protection laws, including the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021), the UK GDPR and Data Protection Act 2018 where applicable, the EU GDPR where applicable, and other applicable local data-protection laws where their territorial or mandatory rules apply.
Where STACKD processes personal data on behalf of a customer, the parties will comply with applicable controller/processor requirements and enter into appropriate data-processing terms where required.
Where you determine the purposes and means of processing, you may be the controller. Where STACKD processes personal data on your documented instructions, STACKD may act as your processor.
21International Data Transfers#
STACKD may transfer, store or permit access to personal data outside the UAE, UK, EEA or the jurisdiction in which it was collected where reasonably necessary to provide the service.
Where applicable law requires safeguards for international transfers, STACKD will implement an appropriate lawful mechanism, which may include an adequacy decision or regulation, appropriate safeguards, Standard Contractual Clauses, the UK International Data Transfer Agreement or UK Addendum, or another legally recognised mechanism.
STACKD will not promise that a single transfer mechanism applies in every jurisdiction; the mechanism used will depend on the law applicable to the particular transfer.
22Security#
STACKD uses reasonable technical and organisational measures to protect information, which may include HTTPS encryption, database security, row-level security, access controls, authentication, monitoring, logging, infrastructure controls and internal access restrictions.
No system is completely secure.
If STACKD becomes aware of a qualifying personal-data breach, STACKD will make notifications required by applicable law and applicable contractual arrangements.
23AI and Regulatory Compliance#
AI-generated content may be subject to laws concerning artificial intelligence, advertising, consumer protection, media, privacy, disclosure, transparency, synthetic content and industry regulation.
You are responsible for determining whether content generated by STACKD must be reviewed, modified, disclosed, labelled, approved, accompanied by disclaimers or subject to regulatory review.
STACKD may modify or restrict functionality where reasonably necessary to comply with applicable law.
24Suspension and Termination#
STACKD may suspend or restrict access where reasonably necessary to protect STACKD or other customers, protect platform security, prevent fraud or abuse, investigate suspected unlawful activity, address breaches, address non-payment, comply with law or a regulator, comply with a third-party platform, prevent harm to infrastructure, or protect STACKD's licence or regulatory standing.
This includes activity that may expose STACKD to material regulatory, legal or reputational risk in the UAE or another jurisdiction.
Where reasonably practicable, STACKD will provide notice and an opportunity to remedy the issue.
You may terminate your subscription in accordance with the cancellation provisions. Provisions intended by their nature to survive termination will continue.
25Data Export and Deletion#
You are responsible for exporting information you require before termination.
Following termination, STACKD may delete customer information according to its retention practices and applicable law.
Deletion may be irreversible.
STACKD may retain information required for legal compliance, tax, accounting, fraud prevention, security, legal claims and regulatory obligations.
Aggregated or irreversibly anonymised information may remain.
26Customer Indemnity#
You agree to defend, indemnify and hold harmless STACKD and its affiliates, officers, employees, contractors and service providers against claims, damages, liabilities, costs and reasonable legal fees arising from your use of STACKD, breach of these Terms, content, auto-publish activity, violation of law, violation of third-party rights, misuse of STACKD, connected accounts, PR or social-media activity, communications with journalists, unlawful processing of personal data, claims by journalists or publications, claims by regulators, claims by social-media platforms, or infringement of intellectual-property rights.
27Limitation of Liability#
STACKD is provided 'as is' and 'as available'. To the maximum extent permitted by applicable law, STACKD does not guarantee that the service or AI output will be uninterrupted, error-free, accurate, complete, current, secure, suitable for a particular purpose or free from third-party rights claims.
STACKD is not liable for loss of profits, revenue, business, anticipated savings, opportunities, goodwill, reputational damage, business interruption, loss or corruption of data, indirect loss, consequential loss, special damages, third-party platform actions, AI-generated content, customer-approved content or regulatory consequences arising from customer activity.
STACKD's total aggregate liability arising from or relating to these Terms or the service will not exceed the subscription fees actually paid to STACKD by the customer during the 12 months immediately preceding the event giving rise to the claim.
Nothing excludes liability that cannot legally be excluded or limited under applicable law, including fraud or other mandatory liability.
28Force Majeure#
STACKD is not liable for delay, interruption or failure caused by circumstances outside its reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, government action, sanctions, epidemics, pandemics, power failures, internet failures, telecommunications failures, cyberattacks, cloud-provider failures, AI-provider failures, third-party API failures, social-media outages, strikes and regulatory changes.
29Changes to These Terms#
STACKD may update these Terms from time to time.
Material changes may be notified by email, in-platform notice, website notice or other reasonable electronic means.
For material changes, STACKD will provide at least 30 days notice before the change takes effect, except where a shorter period is required by law, regulation, court order or to address a security or legal risk. If you do not accept a material change, you may terminate your subscription before the effective date and receive a pro-rata refund of prepaid fees for the unused period, where required by applicable law. Continued use after the effective date constitutes acceptance to the extent permitted by applicable law. Non-material changes, including clarifications, corrections and additions that do not reduce your rights, take effect on the date of publication.
30Notices#
STACKD may provide notices by email, in-platform notification, account notification or other electronic communication.
You are responsible for maintaining accurate contact information.
Legal, privacy and contractual notices to STACKD should be sent to info@stackd.bot unless another address is expressly specified.
31Entire Agreement#
These Terms, together with the Privacy Policy, applicable DPA, pricing terms and other expressly incorporated documents, constitute the entire agreement concerning use of STACKD.
32Severability#
If a provision is held invalid or unenforceable, it will be modified or limited to the minimum extent necessary where legally permitted. The remaining provisions remain effective.
33Waiver#
Failure to enforce a provision does not constitute a waiver of that provision or any other right.
34Assignment#
You may not assign these Terms without STACKD's written consent.
STACKD may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate restructuring, sale of assets or sale of the business.
35Governing Law and Jurisdiction#
These Terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Sharjah, subject to any mandatory laws that apply to a particular customer or transaction.
Subject to applicable mandatory jurisdictional requirements, disputes arising out of or relating to these Terms shall be subject to the jurisdiction of the competent courts of Sharjah, United Arab Emirates.
Nothing in this clause is intended to prevent a party from seeking urgent injunctive or protective relief from a court of competent jurisdiction where legally available.
